Terms


These terms of service are a contract between you and Services Pro Solutions inc. ("SPS"). This Agreement will govern your use of SPS’ products and services and all other aspects of your commercial relationship with SPS, so please read it carefully. By using or continuing to use SPS’ services, you agree to each of the terms and conditions below.

SPS’ SERVICES

In exchange for the partial or full payment associated with the plan you've selected, SPS will make its live call answering services (the "Services") available to you in accordance with this Agreement and the plan's terms, which are shown in the confirmation email you received following sign-up. 

You agree to access and use the Services solely for lawful business or professional purposes and to abide by SPS’ policies regarding the use of the Services, as those policies may change from time to time. You further agree not to sell, transfer, license, or otherwise make available the Services to any third person without SPS’ prior written consent. 

You acknowledge that particular features of the Services may change from time to time, with or without prior notice. You agree that, upon written notice, SPS may change your plan or pricing on a prospective basis. You agree that the software and systems through which SPS delivers the Services are proprietary to SPS and shall in all events remain the exclusive property of SPS.

In order to deliver the Services, SPS needs your permission to perform various tasks with the calls and messages that it handles on your behalf. Accordingly, you agree that SPS (i) patch calls from third parties to you to the telephone number(s) that you provide to SPS for those purposes; (ii) create and maintain written records of messages from third parties to you that SPS takes on your behalf; (iii) send notifications that include the contents of, and other information related to, such messages to the email address(es) and/or telephone number(s) that you provide to SPS for those purposes; (iv) collect, store, and use for business purposes whatever personal or business information you provide to SPS in connection with the Services; (v) listen to and record your voice while using or interacting with the Services; (vi) contact you using the email address(es), telephone number(s), and whatever other contact information you provide to SPS; and (vii) take all other steps that are reasonably necessary in order for SPS to deliver the Services. 

You agree to inform SPS immediately and in writing if any of your email address(es) or telephone number(s) should no longer receive patched calls or message notifications; you acknowledge that, unless and until you do so, SPS will continue to patch calls and/or send such notifications to the email address(es) and/or telephone number(s) that you previously provided for those purposes.

You further agree to obtain, and acknowledge that you are solely responsible for obtaining, each of the permissions described above from your employees, agents, and all other persons who use or interact with the Services in any way on your behalf. Similarly, you agree to obtain, and acknowledge that you are solely responsible for obtaining, each of the permissions described above from third parties who use or may use the Services to communicate with you.

ABOUT BILLING

You will incur the monthly charge(s) associated with the plan you have selected for each whole or partial month during which this Agreement remains in effect, plus any applicable taxes, duties, or other additional payments required by law, which you authorize SPS to collect from you. 

Upon activation and to initiate with the services, you are responsible for the full and on-time payment of all charges invoiced to you within the first 24 hours, thereafter, for all subsequent months, you are responsible for the full and on-time payment of all charges invoiced to you within the first 7 days of invoice date.

If you exceed your allotted minutes in a month, you will be charged for all additional minutes used during that month at the overage rate associated with the plan you have selected on the following invoice. You acknowledge that you will be charged in whole-minute increments, and that any partial minutes will be rounded up to the nearest whole minute. You further acknowledge that chargeable call time includes all time spent by SPS’ agents answering calls or performing other work on your behalf, including, for example, hold time and time spent patching a customer call forward.

You agree to pay to SPS the full amount of each monthly invoice you receive by the due date listed on the invoice. You authorize SPS to send your invoices to the primary email address you provided during sign-up, and to inform SPS immediately and in writing of any change to that email address or your other billing information. If you have provided SPS with your credit card information or enabled any other automatic payment method, you authorize SPS to charge the amount of each of your monthly invoices to your credit card or via such other automatic payment method immediately upon each invoice's issuance. 

You further authorize SPS to charge your credit card or such other automatic payment method immediately in the event that you accrue any overage charges. You agree to inform SPS immediately of any change in your credit card or other payment information, which shall be in writing. You guarantee and warrant that you are the legal owner of such a credit card or the account associated with your automatic payment method, and that you are legally authorized to accept charges from SPS.

If you fail to make any payment due to SPS under the Agreement by the due date for payment, then you shall pay interest on the overdue amount at a rate of 2.5% per cent per annum. Such interest shall accrue on a daily basis from the due date until actual payment of the overdue amount. You shall pay the interest together with the overdue amount.

You shall pay all amounts due under the Agreement in full without any set-off, counterclaim, deduction or withholding (except for any deduction or withholding required by law). SPS may at any time, without limiting its other rights or remedies, set off any amount owing to it by you against any amount payable by SPS to you.

NETWORK DISCLAIMER

SPS recognizes the importance of providing uninterrupted and reliable communication services to our clients.

While we strive to maintain a high level of service availability, there may be instances where our agents are unable to answer calls due to major network issues beyond our control.

Force Majeure Events:

SPS shall not be held responsible for any failure to answer calls resulting from force majeure events, including but not limited to acts of nature, governmental actions, riots, strikes, or other unforeseeable circumstances.

Third-Party Network Providers:

Our services may rely on third-party network providers. In the event of network outages or disruptions caused by these providers, SPS shall not be held liable for any resulting inability to answer calls.

Communication of Network Issues:

SPS will make reasonable efforts to inform clients of any anticipated network maintenance or issues that may impact service availability. However, unforeseen circumstances may arise, and we cannot guarantee immediate notifications.

Client Responsibilities:

Clients are encouraged to have alternative means of communication in place for critical situations. SPS  is not liable for any damages or losses incurred due to the inability to answer calls during major network issues.

Indemnification:

Clients agree to indemnify and hold SPS harmless from any claims, costs, or damages resulting from network issues that are beyond our direct control.

Updates to Terms:

These terms may be updated from time to time, and clients are advised to review them periodically for any changes.

Limitation of Liability:

Services Pro Solution shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, profits, or data.

ABOUT TERMINATION

This Agreement will continue on a month-to-month basis until you or SPS terminates it in accordance with this paragraph. This Agreement will be in effect for a minimum period of 30 calendar days. Following that period, either you or SPS may terminate this Agreement at any time, for any or no reason, upon written notice to the other party. Notwithstanding any of the foregoing, SPS may terminate this Agreement at any time if, in its sole discretion, it determines that you have violated any provision of this Agreement or SPS’ policies regarding the use of the Services, as those policies may change from time to time. Upon termination of this Agreement by either party as contemplated above, you will be charged and responsible for paying a prorated amount of monthly fees and charges for the month of termination, up to the point at which this Agreement is terminated.

Upon termination of this Agreement for any reason, you shall immediately pay to SPS all of SPS’ outstanding unpaid invoices and interest.

REFERRAL PROGRAM - Terms and Conditions

By participating in the Services Pro Solution Referral Program (“Program”), you agree to the following terms and conditions:

  1. Eligibility
    The Program is open to non-customers and existing customers of Services Pro Solution.
    Referrals must be new customers who have not previously used Services Pro Solution services.

  2. Referral Process
    To refer a new customer, participants must provide the referral's name and contact information through the designated referral form or email.
    The referred customer must sign up for a Services Pro Solution plan and remain an active customer for a minimum of 30 days.

  3. Referral Reward
    Rewards are issued as a one-time payout and are determined by the referred customer’s plan:

  • $50 for plans under $299.
  • $100 for plans $299 or higher.
    Rewards will be issued as cash or account credits within 30 days after the referred customer meets all eligibility criteria.
  1. Reward Limits
    There is no limit to the number of referrals a participant can make.

  2. Referred Customer Conditions
    The referred customer must sign up using the referral link or code provided by the referrer.

  3. Termination and Modification
    Services Pro Solution reserves the right to modify or terminate the Program at any time without prior notice. Any fraudulent or abusive activity will result in immediate disqualification from the Program.

  4. General Conditions
    Participation in the Program constitutes acceptance of these terms and conditions.
    Services Pro Solution’s decision regarding any aspect of the Program is final and binding.

  5. Privacy
    Personal information collected in connection with the Program will be used in accordance with our Privacy Policy.

Services Pro Solution 7-Day Free Trial Terms and Conditions

By signing up for the 7-day free trial (“Trial”) with Services Pro Solution, you agree to the following terms and conditions:

  1. Eligibility
    The Trial is available to new customers only. Customers must provide valid contact information and select a qualifying plan to access the Trial.

  2. Trial Period and Usage Limit
    The free trial period will commence upon activation of the Service and will last for seven (7) consecutive days, or until a total of 100 minutes of call time is reached, whichever comes first. During this period, you will not be charged for the Service.

  3. Services Included
    The Trial includes access to 100 minutes, without the personalized IVR menu. Any additional services or features outside of the Trial offering may incur charges.

  4. Cancellation
    Customers can cancel the Trial at any time within the 7-day period by contacting 1-855-950-1999. If the Trial is not canceled before the period ends or before exceeding the 100-minute limit, your subscription will automatically convert to a paid service.

  5. Billing and Payments
    No charges will be incurred during the Trial period. Payment information may be required at the time of registration but will not be charged until the Trial ends, unless otherwise canceled.

  6. Limitations
    The Trial is limited to one per customer and cannot be combined with other offers or promotions.
    Services Pro Solution reserves the right to revoke or modify the Trial offer at any time without prior notice.

  7. Customer Responsibilities
    Customers are responsible for ensuring accurate contact and payment details are provided during registration. Customers must use the service in accordance with Services Pro Solution’s policies and guidelines.

  8. Termination and Modifications
    Services Pro Solution reserves the right to terminate the Trial for any customer engaging in fraudulent or abusive behavior. The terms of the Trial may be updated at any time without prior notice.

  9. Privacy
    All customer information collected during the Trial will be handled in accordance with our Privacy Policy.
